Welcome to U4N.com (hereinafter referred to as “the Platform” or “U4N”). Before accessing or using this Platform, please read and understand these Terms of Service (hereinafter referred to as “this Agreement”) carefully. By accessing, registering on, or using the Platform, you agree to be bound by this Agreement and other related policies (including but not limited to the Privacy Policy and Cookies Policy). If you do not agree to this Agreement, please do not use the Platform.

1. Formation and Modification of the Agreement

This Agreement is entered into between you and COOLPLAY TECHNOLOGY CO., LIMITED, the Hong Kong-registered company operating U4N.com.

U4N reserves the right to revise this Agreement at any time. The revised Agreement shall become effective immediately upon publication without prior notice. Your continued use of the Platform after such changes constitutes your acceptance of the updated terms.

2. Platform Role Description

U4N is a third-party online platform facilitating transactions of virtual goods and digital services. The Platform is not a party to any transactions between buyers and sellers.

All listings, pricing, selling, and purchasing activities are solely the responsibility of users. The Platform makes no representations regarding the authenticity, legality, safety, timely payment, or delivery of any listed goods or services.

While U4N may assist in dispute mediation, it shall not bear legal liability for any transaction disputes.

3. User Definition and Registration

A “User” refers to any individual or entity accessing or using the Platform.

Registered Users must provide truthful, accurate, and valid personal information (such as name, email, and contact details).

Each User may register only one account. Account information (including usernames and passwords) may not be transferred, leased, or sold.

Users must be at least 18 years old, or use the Platform with the consent of a parent or legal guardian.

4. User Conduct Guidelines

Users agree to abide by the following conduct rules:

• Do not upload or distribute false, illegal, infringing, fraudulent, harassing, obscene, or discriminatory content.
• Do not sell or promote any prohibited, illegal, or unauthorized goods or services.
• Do not send spam, phishing links, or malware through the Platform.
• Do not scrape, copy, republish, or sell user data or Platform content without authorization.
• Do not interfere with or attempt to gain unauthorized access to the Platform's systems or other users' accounts.

Violations may result in account suspension or permanent termination.

5. Transaction Terms

All transactions are directly negotiated between buyers and sellers. The Platform merely provides technical tools and payment channels.

Sellers must ensure that listed goods or services are legal, authentic, and deliverable. Buyers must ensure they can fulfill payment obligations.

U4N is not responsible for transaction disputes, including but not limited to product quality, delivery delays, or failed refunds. Users are encouraged to evaluate trading partners carefully before proceeding.

6. Fees and Payments

The Platform may charge a commission on completed transactions as stated in the Seller Guide.

All applicable fees will be automatically deducted from transaction amounts. U4N reserves the right to adjust commission rates and fee policies at any time.

Users are responsible for maintaining valid payment methods and for any applicable tax obligations under Hong Kong law or other relevant jurisdictions.

7. Account Restrictions and Termination

U4N may, at its discretion and without prior notice, suspend or terminate an account if it finds evidence of:

• Fraudulent activity or policy violations;
• Actions that disrupt Platform order;
• Abnormal complaints or chargebacks;
• Failure to comply with verification requests.

Terminated users may not re-register without written permission.

8. Intellectual Property Statement

All content on U4N.com (including page design, text, graphics, software, and databases) is protected by copyright, trademark, and intellectual property laws, and belongs to COOLPLAY TECHNOLOGY CO., LIMITED.

Users may not reproduce, modify, distribute, or sell any Platform content without written authorization.

By posting content on the Platform, Users grant U4N a non-exclusive, worldwide, royalty-free, and perpetual license to use such content for lawful promotional or operational purposes.

9. Disclaimer

To the fullest extent permitted by law, U4N shall not be liable for:

• The authenticity, quality, or legality of goods or services listed by users;
• Any losses, disputes, or damages arising from transactions;
• Interruptions or data loss due to force majeure events (including network failures, system maintenance, or natural disasters).

Users acknowledge and accept full responsibility for all activities conducted through their accounts.

10. Governing Law and Dispute Resolution

This Agreement shall be governed and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR).

Any disputes arising out of or in connection with this Agreement shall first be resolved through amicable negotiation. If such negotiations fail, the dispute shall be submitted to the courts of Hong Kong, which shall have exclusive jurisdiction.
