Welcome to U4N.com (hereinafter referred to as “the Platform” or “U4N”). Before accessing or using this Platform, please read and understand these Terms of Service (hereinafter referred to as “this Agreement”) carefully. By accessing, registering on, or using the Platform, you agree to be bound by this Agreement and other related policies (including but not limited to the Privacy Policy and Cookies Policy). If you do not agree to this Agreement, please do not use the Platform.
1. Formation and Modification of the Agreement
This Agreement is entered into between you and COOLPLAY TECHNOLOGY CO., LIMITED, the company operating U4N.com.
U4N reserves the right to revise this Agreement at any time. The revised Agreement shall become effective immediately upon publication without prior notice. Your continued use of the Platform after such changes constitutes your acceptance of the updated terms.
2. Platform Role Description
U4N is a third-party online platform facilitating transactions of virtual goods and digital services. The Platform is not a party to any transactions between buyers and sellers.
All listings, pricing, selling, and purchasing activities are solely the responsibility of users. The Platform makes no representations regarding the authenticity, legality, safety, timely payment, or delivery of any listed goods or services.
While U4N may assist in dispute mediation, it shall not bear legal liability for any transaction disputes.
3. User Definition and Registration
“User” refers to any individual or entity that accesses, registers for, or uses the U4N platform and its related services.
Registered users must provide true, accurate, complete, and valid personal information, including but not limited to their name, email address, and contact details. Users are responsible for keeping such information up to date to ensure that it remains true, accurate, and valid.
As a general rule, each user may register and maintain only one U4N account. An account and its associated information, including usernames, passwords, authentication information, and account permissions, may not be transferred, rented, sold, lent, or otherwise made available for use by any third party.
Users must be at least 18 years of age and have the legal capacity to enter into binding agreements. Where applicable law permits a person under the age of 18 to use the relevant services with the consent and supervision of a parent or legal guardian, such user must obtain lawful authorization from their parent or legal guardian in advance.
Due to applicable laws and regulations, international sanctions, export controls, anti-money laundering requirements, payment channel restrictions, compliance obligations, and platform risk management policies, U4N does not provide registration, trading, deposit, withdrawal, or some or all other services to users located in certain countries or regions. Restricted countries or regions currently include, but are not limited to, Russia, Ukraine, North Korea, and any other countries or regions subject to applicable legal restrictions, international sanctions, trade embargoes, financial restrictions, or U4N compliance policies.
Users may not circumvent the above geographic restrictions through VPNs, proxy servers, false identity information, third-party accounts, or any other technical or non-technical means. U4N reserves the right to modify the list or scope of restricted countries or regions from time to time in accordance with applicable laws, sanctions policies, payment provider requirements, and its own compliance policies, and may take necessary measures with respect to affected accounts, including refusing registration, restricting transactions, suspending services, requiring additional identity verification, or terminating accounts.
4. User Conduct Guidelines
Users agree to abide by the following conduct rules:
- Do not upload or distribute false, illegal, infringing, fraudulent, harassing, obscene, or discriminatory content.
- Do not sell or promote any prohibited, illegal, or unauthorized goods or services.
- Do not send spam, phishing links, or malware through the Platform.
- Do not scrape, copy, republish, or sell user data or Platform content without authorization.
- Do not interfere with or attempt to gain unauthorized access to the Platform's systems or other users' accounts.
Violations may result in account suspension or permanent termination.
5. Transaction Terms
All transactions are directly negotiated between buyers and sellers. The Platform merely provides technical tools and payment channels.
Sellers must ensure that listed goods or services are legal, authentic, and deliverable. Buyers must ensure they can fulfill payment obligations.
U4N is not responsible for transaction disputes, including but not limited to product quality, delivery delays, or failed refunds. Users are encouraged to evaluate trading partners carefully before proceeding.
6. Fees and Payments
The Platform may charge a commission on completed transactions as stated in the Seller Guide.
All applicable fees will be automatically deducted from transaction amounts. U4N reserves the right to adjust commission rates and fee policies at any time.
Users are responsible for maintaining valid payment methods and for any applicable tax obligations under Hong Kong law or other relevant jurisdictions.
7. Account Restrictions and Termination
U4N may, at its discretion and without prior notice, suspend or terminate an account if it finds evidence of:
- Fraudulent activity or policy violations;
- Actions that disrupt Platform order;
- Abnormal complaints or chargebacks;
- Failure to comply with verification requests.
Terminated users may not re-register without written permission.
8. Intellectual Property Statement
Content independently designed, developed, or created by U4N, including but not limited to the U4N brand name, Logo, website page designs, interface layouts, original text, graphic designs, program code, database structures, and other original content, is protected by copyright, trademark, and other intellectual property laws. The relevant intellectual property rights are owned by COOLPLAY TECHNOLOGY CO., LIMITED or their respective lawful rights holders.
Without the prior written permission of U4N or the relevant rights holder, no individual or organization may reproduce, modify, distribute, publish, display, sell, sublicense, commercially exploit, or otherwise use the above protected content without authorization.
Third-party game names, game Logos, characters, game icons, promotional images, screenshots, and other game-related materials displayed on the U4N platform are the property of their respective game developers, publishers, or other lawful rights holders. U4N does not claim ownership of such third-party intellectual property.
U4N uses relevant game names, images, icons, and other third-party materials solely for purposes such as game product categorization, content description, information display, user identification, and platform services. Unless expressly stated otherwise, U4N is not officially affiliated with, authorized by, sponsored by, endorsed by, or otherwise associated with the relevant game developers, publishers, or trademark owners.
Users who publish, upload, or submit content to the U4N platform must ensure that they own the necessary rights to such content or have obtained all required permissions. By submitting content to U4N, users grant U4N a worldwide, non-exclusive, royalty-free license, to the extent permitted by applicable law, to use such content for platform operation, content display, promotion, technical processing, and other lawful purposes related to U4N services.
If any rights holder believes that content available on the U4N platform infringes their intellectual property rights, they may contact U4N and provide relevant proof of ownership and information identifying the allegedly infringing content. Upon verification, U4N will take appropriate measures in accordance with applicable law, including removing or restricting access to the relevant content where appropriate.
9. Disclaimer
To the fullest extent permitted by law, U4N shall not be liable for:
- The authenticity, quality, or legality of goods or services listed by users;
- Any losses, disputes, or damages arising from transactions;
- Interruptions or data loss due to force majeure events (including network failures, system maintenance, or natural disasters).
Users acknowledge and accept full responsibility for all activities conducted through their accounts.
10. Governing Law and Dispute Resolution
This Agreement shall be governed and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR).
Any disputes arising out of or in connection with this Agreement shall first be resolved through amicable negotiation. If such negotiations fail, the dispute shall be submitted to the courts of Hong Kong, which shall have exclusive jurisdiction.
